These Terms of Service ("Terms") govern your access to and use of Todoki's websites, applications, meeting intelligence services, and related features (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization.
1. Eligibility and accounts
You must be legally able to enter into these Terms and be at least 18 years old, or the age of legal majority where you live. You must provide accurate account information, safeguard your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for managing workspace access.
2. The Service
Todoki helps users capture or import meeting content, organize transcripts and insights, and prepare or execute reviewed actions through connected services such as Google, Slack, and Linear. Features may be released in preview or beta and may change over time. We may modify, suspend, or discontinue all or part of the Service, subject to applicable law and any separate written agreement.
Generated summaries, action items, and other automated outputs may be incomplete or inaccurate. You must review outputs before relying on them or sending them to another service. Todoki is not a system of record and does not provide legal, financial, medical, or other professional advice.
3. Meeting consent and lawful use
You are solely responsible for complying with laws, workplace rules, platform terms, and contractual obligations that apply to meetings and content. Before using a notetaker, recording, transcription, or upload feature, you must provide required notices and obtain necessary permissions or consents from participants. You must not use the Service to secretly monitor people or process content you are not authorized to access.
4. Your content
You retain ownership of content you submit ("Your Content"). You grant us a worldwide, non-exclusive, limited license to host, copy, process, transmit, and display Your Content only as needed to provide, secure, maintain, and improve the Service and comply with law. You represent that you have all rights and permissions needed for Your Content and our processing of it.
You are responsible for maintaining appropriate copies of Your Content. We are not liable for loss of content except to the extent liability cannot be excluded by law.
5. Connected services
The Service may interoperate with third-party products, including Google, Slack, Linear, Recall.ai, video meeting platforms, and infrastructure providers. Your use of those products is governed by their own terms and privacy policies. You authorize Todoki to exchange information with a connected service as needed to provide requested features. We do not control and are not responsible for third-party services, their availability, or changes they make.
6. Acceptable use
You may not:
- Use the Service unlawfully, deceptively, or to violate another person's rights.
- Upload malware or disrupt, damage, or gain unauthorized access to systems.
- Probe, scan, bypass, or interfere with security or access controls.
- Reverse engineer or copy the Service except where this restriction is prohibited by law.
- Use automated access that creates unreasonable load.
- Resell the Service without our written permission.
- Use outputs without human review where errors could cause harm.
We may investigate violations and suspend or terminate access when reasonably necessary to protect the Service, users, or others.
7. Intellectual property and feedback
Todoki and its licensors retain all rights in the Service, software, branding, documentation, and other materials, excluding Your Content. These Terms grant only a limited, revocable, non-transferable right to use the Service. If you provide feedback, you grant us the right to use it without restriction or compensation.
8. Fees
Some features may require a paid plan. Prices, included usage, billing periods, and taxes will be disclosed when you subscribe. Unless stated otherwise or required by law, payments are non-refundable. We may change pricing prospectively with reasonable notice.
9. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, or if continued operation is no longer practicable. Provisions that by their nature should survive termination will survive.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." Todoki disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow certain disclaimers.
11. Limitation of liability
To the maximum extent permitted by law, Todoki and its affiliates, suppliers, and personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Our aggregate liability will not exceed the greater of US $100 or the amount you paid Todoki during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law.
12. Indemnification
To the extent permitted by law, you will defend and indemnify Todoki and its affiliates and personnel from third-party claims, damages, and reasonable costs arising from Your Content, your use of the Service, your violation of these Terms, or your failure to obtain required meeting permissions or consents.
13. Governing terms and changes
Applicable law and courts with jurisdiction will govern these Terms unless a separate written agreement specifies otherwise or mandatory law requires a different result. Before broad commercial launch, Todoki may update this section to identify its contracting legal entity, jurisdiction, and formal dispute process.
We may update these Terms by posting a revised version and changing the effective date. If a change is material, we may provide additional notice. Continued use after the effective date constitutes acceptance where permitted by law.
